Terms of Service
These Terms of Service (the "Terms") govern your access to and use of the Zovex Labs website, dashboard, and AI phone-agent service (together, the "Service"), operated by Zovex Labs ("Zovex Labs", "we", "us", or "our").
By creating an account, purchasing a subscription, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
01Agreement to Terms
By accessing the website, registering for an account, or subscribing to a plan, you accept these Terms on behalf of yourself and the business you represent (your "Business"). You confirm that you are at least 18 years old and are authorised to enter into these Terms on behalf of your Business.
If we make changes to these Terms, your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms (see "Changes to These Terms").
02What Zovex Labs Provides
Zovex Labs provides an AI phone agent that answers calls to a phone number you forward to us and, based on the configuration you supply, can:
- Greet callers and answer common questions about your Business (hours, services, location).
- Book, reschedule, and cancel appointments during the call.
- Record and transcribe calls, and generate written summaries.
- Place outbound appointment-reminder and post-appointment follow-up calls.
- Optionally sync appointments to a connected Google or Microsoft calendar.
The Service is software. We are not a telephone carrier and do not provide telephone lines, number porting, or emergency-calling capability. Features may be added, changed, or removed over time.
03Accounts & Eligibility
You must provide accurate and complete information when creating your account and keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
Each account is for a single Business. Notify us promptly at support@zovexlabs.com if you believe your account has been accessed without authorisation.
04Your Responsibilities
You are responsible for the following, and your use of the Service depends on you meeting them:
- Telephone number. You forward your own business number to the Service and control when calls route to us (always, after hours, or on busy). You are responsible for your telephone provider and any charges from them.
- Call recording and AI disclosure. You are solely responsible for providing every notice and obtaining every consent required by law in your jurisdiction and your callers' jurisdictions before calls are recorded or handled by an automated agent — including "all-party" / two-party consent requirements. Zovex Labs lets you configure a spoken disclosure, but you decide what it says and whether it is sufficient, and you are liable for compliance.
- Outbound calling laws. If you enable reminder or follow-up calls, you are responsible for compliance with telemarketing, auto-dialer, robocall, and do-not-call laws (for example, the U.S. TCPA and equivalent rules elsewhere), including having a lawful basis to call each recipient.
- Lawful use only. Do not use the Service for any emergency line, crisis line, medical triage, or any purpose where a delayed, missed, or incorrect response could result in harm, injury, or loss.
- Accurate configuration. The agent relies on the hours, services, closures, and other details you enter. You are responsible for keeping them correct.
- Caller data. You represent that you have the right to collect your callers' personal information and to authorise us to process it on your behalf in order to provide the Service.
05Acceptable Use
You agree not to, and not to permit anyone else to:
- Use the Service in any unlawful, fraudulent, deceptive, harassing, or abusive manner.
- Infringe the intellectual property, privacy, or other rights of any person.
- Resell, sublicense, or provide the Service to third parties as a service bureau.
- Reverse engineer, decompile, or attempt to extract source code or models, except to the extent this restriction is prohibited by law.
- Probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure.
- Send spam or place unlawful automated or bulk calls, or generate load or request volumes intended to disrupt the Service.
We may investigate suspected violations and cooperate with law enforcement where appropriate.
06Fees, Billing & Payments
Order processing and payments for paid plans are handled by Paddle.com ("Paddle"), which acts as the Merchant of Record and authorised reseller for those transactions. Paddle's Buyer Terms and Privacy Policy also apply to your purchase, and your receipt and invoices are issued by Paddle.
- Subscriptions. Plans are billed in advance for each billing period and renew automatically at the then-current price until cancelled.
- Included minutes and overage. Each plan includes a set amount of call minutes per billing period. Usage above that allowance is billed at the plan's per-minute overage rate and charged at the close of the billing period in which it was used.
- Taxes. Stated prices may exclude applicable taxes (such as VAT or sales tax), which Paddle may add at checkout and remit as required.
- Payment method. You authorise Paddle to charge your selected payment method for all fees, including renewals and overage charges.
- Price changes. We may change plan prices or the structure of allowances. Changes take effect on your next renewal after we give you reasonable notice.
Failure to pay any amount when due may result in suspension or termination of the Service.
07Cancellation & Refunds
You may cancel your subscription at any time, from your dashboard or by contacting us.
Cancellation stops future renewals. Your access continues until the end of the billing period you have already paid for, after which the subscription ends.
Refunds are limited and are described in our Refund Policy. In summary: monthly fees and usage charges are non-refundable, and we honour any refund required by law. Eligible refunds are processed through Paddle.
08Third-Party Services
The Service relies on third-party providers, including telephony carriers, voice-AI infrastructure, calendar integration, and payment processing. Your use of features that depend on these providers is also subject to their terms.
We are not responsible for the acts, omissions, availability, or changes of third-party providers. An outage, price change, or policy change on their side may affect or interrupt the Service.
09Intellectual Property
Zovex Labs and its licensors own all rights in the Service, including the software, models, user interface, documentation, and the Zovex Labs name and branding. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your Business during your subscription.
You retain ownership of the content and configuration you provide and of your callers' data. You grant us the rights described in "Your Data & Privacy" so we can operate the Service.
10Your Data & Privacy
Our handling of personal information is described in our Privacy Policy.
To provide the Service, you grant us a worldwide, non-exclusive licence to host, process, transmit, record, transcribe, and analyse call audio, transcripts, appointment details, and configuration, and to sync appointment data to calendars you connect. With respect to personal data of your callers, you are the controller and we act as your processor, processing that data only to provide and support the Service or as you instruct.
Each Business's customers, appointments, and call logs are isolated from every other Business on the platform.
11Service Availability
The Service is provided on an "as is" and "as available" basis. We do not guarantee any level of uptime unless we have agreed a separate written service-level agreement with you. We may perform maintenance, and may modify or suspend parts of the Service, with or without notice where circumstances require.
12Disclaimers & Limitation of Liability
To the maximum extent permitted by law, we disclaim all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Zovex Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business, lost bookings, or lost data.
Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the amount you paid to us (via Paddle) for the Service in the 12-month period immediately before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
13Indemnification
You will defend, indemnify, and hold harmless Zovex Labs and its officers, employees, and contractors from and against any claims, damages, liabilities, and costs (including reasonable legal fees) arising out of or related to: your use of the Service; the content and configuration you provide; your callers' data; your breach of these Terms; or your failure to comply with call-recording, consent, telemarketing, or other applicable laws.
14Suspension & Termination
We may suspend or terminate your access to the Service, in whole or in part, if you breach these Terms, fail to pay fees when due, use the Service in a way that creates legal or security risk, or as required by law.
You may terminate at any time by cancelling your subscription. On termination, your right to use the Service ends, and we will delete or de-identify your data within 30 days, except where we are required to retain it by law.
15Changes to These Terms
We may update these Terms from time to time. If a change is material, we will notify you by email or through a notice on the website or dashboard before it takes effect. The "Last updated" date at the top of this page shows when the current version took effect. Continued use of the Service after that date means you accept the revised Terms.
16Governing Law & Disputes
These Terms are governed by the laws of United States, without regard to its conflict-of-laws rules.
Before filing a claim, you agree to first contact us at support@zovexlabs.com and attempt to resolve the dispute informally. If the dispute is not resolved within 30 days, it will be subject to the exclusive jurisdiction of the courts located in United States.
17Miscellaneous
These Terms, together with any documents they reference, are the entire agreement between you and Zovex Labs regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it.
You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control. Notices to you may be sent to the email address on your account.
